AGREEMENT BETWEEN YOU AND WEBCLARITY SOFTWARE INC.

1. OWNERSHIP AND COPYRIGHT: The BookWhere Online software is the copyrighted property of WebClarity Software Inc. (herinafter "WebClarity") and/or its suppliers. Ownership and title to this software and all copies thereof is retained by WebClarity.

2. RESTRICTIONS OF USE: A valid license agreement, allows you to access the Software, as provided on WebClarity's webservers, for the period of your license agreement. You may not otherwise copy the Software, sub-license the Software, or reverse engineer, decompile, or dis-assemble the Software. You may not copy any manuals accompanying the Software.

3. TRANSFER: You may not transfer the license to another party. The license is for your own personal use.

4. WARNING: In Canada, the United States and other countries, it is illegal to download or copy, without permission, material in which copyright is held by others. BookWhere should only be used to access information databases for your own private use, or to download or make copies of database records with the permission of the copyright owners. Use of BookWhere for any other purpose is neither approved nor encouraged by WebClarity, and may cause you to be liable for copyright infringement.

5. WARRANTY: WebClarity warrants that it has the right to license you to use this service. WebClarity's entire liability and your exclusive remedy shall be a refund of your license fee for any period during which the service is not operational during the term of your license agreement. Except as provided above, the Software is provided "AS IS" without warranty of any kind.

6. LIMITATION OF LIABILITY: THE ABOVE WARRANTIES ARE THE ONLY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. NEITHER WEBCLARITY NOR ITS SUPPLIERS SHALL BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF USE, INTERRUPTION OF BUSINESS, NOR FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHETHER UNDER THIS AGREEMENT OR OTHERWISE.

7. GENERAL: This agreement shall be governed by the laws of the Province of Ontario, Canada.

8. TERMINATION: WebClarity may terminate this license at any time if you are in breach of any of its terms and conditions. Upon termination, you will immediately destroy or return all copies of the Software and documentation.

9. U.S. GOVERNMENT RESTRICTED RIGHTS: This webservice and documentation is provided with "RESTRICTED RIGHTS". Use, duplication, or disclosure by the Government is subject to restrictions as set forth in FAR52.227-14 and DFAR252.227-7013. The use of this Software by the Government constitutes acknowledgement of WebClarity's proprietary rights in the Software.
